GST Composition Scheme: A Boon for Small Businesses
12 Oct 2026

An SME IPO lets a small or medium enterprise raise equity capital by listing on a dedicated SME exchange platform — NSE Emerge or BSE SME — with lighter compliance than a main-board IPO. After SEBI’s March 2025 reforms, the route is reserved for genuinely profitable, well-governed companies.

Quick answer: To launch an SME IPO in 2026, a company must show operating profit (EBITDA) of at least ₹1 crore in two of the last three financial years, keep post-issue paid-up capital up to ₹25 crore, and meet NSE Emerge / BSE SME eligibility. Offer-for-sale is capped at 20% of the issue and the minimum investor application is ₹2 lakh.

What is an SME IPO?

An SME IPO is a public issue listed on the NSE Emerge or BSE SME platform, designed for companies with post-issue paid-up capital of up to ₹25 crore. Compliance is lighter than the main board, a market maker is mandatory for a defined period, and a company can later migrate to the main board as it grows.

SME IPO eligibility in 2026

  • Profitability: operating profit (EBITDA) of at least ₹1 crore in two of the last three financial years — SEBI ICDR Regulation 229(6).
  • Track record & net worth: an operating history of about three years, positive net worth and positive cash accruals.
  • Post-issue paid-up capital: up to ₹25 crore for the SME platform.
  • Governance: promoters and directors not debarred, clean audited financials and a functioning board.

SEBI’s 2025 SME IPO norms — what changed

  • Offer-for-sale (OFS) capped at 20% of the issue size; each selling shareholder can offload no more than 50% of their holding.
  • General corporate purposes (GCP) capped at 15% of the issue or ₹10 crore, whichever is lower.
  • Minimum investor application raised to ₹2 lakh (two lots).
  • Promoter holding above the minimum promoter contribution is locked in — 50% released after 1 year and 50% after 2 years.

The SME IPO process & timeline

Appoint a merchant banker → due diligence and pre-IPO restructuring → file the DRHP with the exchange → in-principle approval → marketing and anchor allocation → issue opens and closes → allotment and listing. A typical SME IPO takes four to eight months end to end.

Costs of an SME IPO

Expect merchant-banker fees, market-making, legal and company-secretarial work, audit, registrar, and exchange and depository charges. For smaller issues these commonly run to about 6–12% of the issue size, so planning the structure early protects value.
